1What it is

A Portuguese private limited company (Sociedade por Quotas, Lda, or Unipessoal Lda for a single owner) is the most common structure for small businesses. We coordinate the name approval, incorporation and registrations so your company is ready to operate.

2Who needs it

  • Entrepreneurs starting a business in Portugal
  • Foreign companies opening a Portuguese entity
  • Freelancers moving to a company structure

3Documents usually required

We confirm the exact list for your situation with your quote. You can upload documents with your request.

  • Passport of each partner and manager
  • Portuguese NIF of each partner and manager
  • Proposed company names and business activity
  • Registered office address

4How the process works

  1. 1Tell us about your business and partners
  2. 2We confirm the price and check the company name
  3. 3We prepare the incorporation documents for signature
  4. 4The company is registered and you receive its details

Typical timeframe: Usually one to three weeks.

5Good to know

Lda or Unipessoal Lda?

A Sociedade por Quotas (Lda) has two or more partners; a Unipessoal Lda has a single owner. Both limit your personal liability and are the most common choice for small and medium businesses.

What happens during setup

  1. Company name approval
  2. Articles of association and registration
  3. Tax start of activity and social security registration
  4. Company bank account

After incorporation

Portuguese companies must work with a certified accountant and file monthly and yearly obligations. Every partner and manager needs a NIF.
